These Terms of Use (“Terms”) govern your access to and use of the Brix platform, website, applications, and related services (collectively, the “Service”), operated by Brix Innovation (“Brix”, “we”, “us”, or “our”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
These Terms of Use constitute the Master Subscription Agreement and apply to all Order Forms and paid subscriptions for the brix platform.
Important
Brix provides software, templates, calculators, tools, and downloadable resources solely for the purpose of assisting with quoting, pricing, estimating, and business workflows.
These tools and resources are provided for general guidance and assistance and do not constitute financial, accounting, legal, or business advice.
All pricing, margins, estimates, calculations, quotes, and business decisions made using brix or any brix-provided tools, including downloadable calculators or templates, remain the sole responsibility of the user. Users are responsible for reviewing, validating, and adjusting all outputs to suit their own business, costs, and circumstances.
1. Eligibility & Account Responsibility
You must be at least 18 years old and have the authority to bind the business you represent.
You are responsible for:
- All activity conducted under your account
- Actions taken by your employees, contractors, and authorised users
- Ensuring all users comply with these Terms
- Maintaining the security of usernames, passwords, and access credentials
You must provide accurate, current, and complete information at all times.
2. Licence to Use the Service
Subject to these Terms, Brix grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service solely for your internal business operations.
You must not:
- Copy, reproduce, modify, distribute, sell, or resell the Service
- Use the Service to develop or support a competing product
- Reverse engineer, scrape, or attempt to extract source code or system logic
- Provide access to unauthorised third parties
All rights not expressly granted are reserved by Brix.
3. Subscriptions, Fees & Billing
Certain features of the Service require payment of subscription fees.
Unless otherwise stated:
- Fees are billed in advance
- Subscriptions renew automatically for the agreed billing period
- All fees are non-refundable
Brix may update pricing, subscription tiers, or billing structures with reasonable notice.
Failure to pay fees when due may result in suspension or termination of access.
4. 30-Day Money-Back Guarantee
Brix offers a 30-day money-back guarantee on new subscriptions.
If you are not satisfied with the Service within the first 30 days of your initial subscription, you may request a full refund of subscription fees paid during that period.
This guarantee:
- Applies once per business licence, not per individual user
- Applies only to the initial subscription period
- Does not apply to renewals, upgrades, add-ons, or subsequent subscriptions
To request a refund, you must contact Brix within 30 days using the support details provided.
Approved refunds will be processed to the original payment method within a reasonable timeframe.
5. Customer Data & Data Use
You retain ownership of all data, content, and information entered into the Service (“Customer Data”).
You grant Brix a limited licence to:
- Host, store, process, and display Customer Data to provide the Service
- Use anonymised and aggregated data for analytics, benchmarking, reporting, and product improvement
Brix does not sell identifiable Customer Data.
You are solely responsible for the accuracy, completeness, and legality of all Customer Data entered into the Service.
6. Independent Judgment & Use of the Service
The Service is a business tool designed to assist with quoting, pricing, and workflow processes.
You acknowledge and agree that:
- You must exercise independent judgment when using the Service
- Outputs generated by the Service do not replace professional, financial, accounting, or trade judgment
- You are solely responsible for decisions made using the Service
7. AI, Automation & Pricing Guidance Disclaimer
The Service may include AI-assisted features, automation tools, templates, benchmarks, or pricing guidance.
You acknowledge and agree that:
- These outputs are guidance only
- Brix does not provide financial, accounting, legal, or trade advice
- AI-assisted outputs may be incomplete, inaccurate, or unsuitable for your specific circumstances
Use of any AI-assisted or automated feature is entirely at your own discretion and risk.
8. Pricing, Margin & Financial Calculations Disclaimer
The Service may generate pricing, margin, labour, billable hours, and other financial calculations to assist with quoting and business decision-making.
These calculations are generated based on:
- Information entered by you or your authorised users
- Pricing rules, labour rates, overheads, margins, and assumptions are configured within your account
- Templates or example price books provided by Brix for reference and guidance
You acknowledge and agree that:
- It is your responsibility to review the details of any proposal or quote generated using the Service, including any calculations
- Calculations and pricing outputs are intended to support your decision-making process and should be reviewed before being presented to customers
- Actual job outcomes may vary due to site conditions, scope changes, labour performance, materials, scheduling, or other operational factors
While Brix aims to provide helpful and reliable tools, pricing and financial calculations may not reflect final job results in every circumstance.
Brix does not review or approve proposals or quotes before they are presented to end customers, and is therefore not responsible for errors, omissions, or misstatements in proposals or quotes presented to end customers that arise from:
- Information entered by you or your authorised users
- Account configurations, pricing rules, or assumptions set within your account
- Use or modification of templates or example pricing
You remain responsible for:
- Reviewing and approving all pricing and proposal details before use
- Configuring labour rates, billable hour assumptions, overheads, and margins appropriate to your business
- Adjusting any templates or example pricing to suit your specific business operations
To the maximum extent permitted by law, Brix shall not be liable for any:
- Loss of revenue
- Loss of profits or anticipated savings
- Loss of data
- Business interruption
- Indirect or consequential loss
arising from or in connection with the Customer’s use of pricing, margin, or financial calculation features of the Service.
9. Tools & Downloads
Any templates, calculators, example price books, and downloadable resources provided by brix are for general guidance only and do not constitute financial, business, or professional advice. Users remain responsible for independently reviewing and validating all outputs before use.
10. Third-Party Data & Integrations
The Service may integrate with third-party systems, including accounting, payroll, CRM, or job management platforms.
Brix is not responsible for:
- Accuracy, completeness, or reliability of third-party data
- Errors, delays, or failures caused by third-party systems, APIs, or integrations
You remain responsible for reviewing and validating all data imported from or exported to third-party systems.
11. Service Availability & Maintenance
The Service is provided on an “as available” basis.
While Brix aims to provide reliable access, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.
Access to the Service may be suspended temporarily due to:
- Maintenance or updates
- System upgrades
- Technical issues
- Circumstances beyond our reasonable control
Brix is not liable for any loss or damage resulting from service interruptions, downtime, or maintenance periods.
12. Product Changes & Feature Evolution
You acknowledge that the Service is an evolving product.
Brix may, at any time:
- Modify, update, enhance, or discontinue features
- Add or remove functionality
- Change how features operate
Such changes do not entitle you to refunds, credits, or compensation, provided the core Service remains substantially available.
13. Acceptable Use & Suspension for Risk
You must not:
- Use the Service for unlawful purposes
- Upload malicious code or harmful data
- Misrepresent pricing, scope, or information to customers
- Interfere with the integrity, security, or performance of the Service
Brix may suspend or restrict access:
- For breach of these Terms
- Where continued use poses a risk to the Service, other users, or Brix
- For security, operational, or risk management reasons
14. Confidentiality
Each party agrees to keep confidential any non-public information obtained through the Service and not disclose it except as required to use the Service or as required by law.
15. Intellectual Property
All intellectual property rights in the Service, including software, designs, workflows, templates, trademarks, and documentation (excluding Customer Data), remain the exclusive property of Brix.
Nothing in these Terms transfers ownership of Brix intellectual property to you.
16. Termination
You may cancel your subscription at any time in accordance with your billing terms.
Brix may suspend or terminate access if:
- You breach these Terms
- Fees remain unpaid
- Your use poses a risk to the Service, Brix, or other users
Upon termination, your right to access the Service will cease.
17. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Brix disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
18. Limitation of Liability
To the maximum extent permitted by law:
- Brix is not liable for indirect, incidental, special, or consequential loss, including loss of profits, revenue, data, or business opportunities
- Brix’s total liability under these Terms is limited to the total fees paid by you to Brix in the 12 months preceding the event giving rise to the claim
19. Governing Law & Jurisdiction
These Terms are governed by the laws of New South Wales, Australia.
The courts of New South Wales have exclusive jurisdiction.
20. Changes to These Terms
Brix may update these Terms from time to time.
Continued use of the Service after updated Terms are published constitutes acceptance of the revised Terms.
